Terms of Service
Effective date: 18 April 2026
These Terms govern your use of Choperly, a WhatsApp-native ordering platform for food businesses operated by Pesewa Brands(“Choperly”, “we”, “us”). By creating a Choperly account or using any Choperly service, you agree to these Terms. If you do not agree, do not use the service.
1. Who can use Choperly
You must be at least 18 years old, a legal resident of Ghana (or another country we serve), and able to enter into a binding contract. If you are using Choperly on behalf of a business, you confirm that you have authority to do so.
2. Your account
- You are responsible for keeping your login credentials confidential and for all activity under your account.
- You agree to provide accurate, current business information and to keep it updated.
- We may suspend or terminate accounts that violate these Terms or put other users at risk.
3. Seller responsibilities
If you are a food-business seller using the Choperly dashboard, you are responsible for:
- The accuracy of your menu, pricing, operating hours, and delivery zones
- Fulfilling orders received through your Choperly bot, including food safety and hygiene
- Paying your delivery riders the amounts shown in your Payouts dashboard
- Complying with local food, tax, and business licensing laws
- Obtaining customer consent before sending any messages outside the ordering flow
4. Customer responsibilities
If you place an order through a seller’s Choperly bot, you agree to provide accurate contact and delivery information, to pay in full for accepted orders, and not to misuse the service (spam, fraud, abusive messages).
5. Rider responsibilities
Delivery riders added by sellers agree to respond to dispatch offers promptly, deliver orders in the condition received, and behave professionally toward customers.
6. Payments and fees
- Choperly charges a platform fee (currently 10%) on transactions routed through your connected Paystack subaccount. The fee is shown at connection time and may change with 30 days’ notice.
- Paystack fees for card and Mobile Money transactions are charged separately by Paystack and passed through to the seller where applicable.
- You are responsible for any taxes on your sales.
- Refunds and chargebacks are handled directly between the seller and the customer; Choperly is not a party to the underlying sale of food.
7. WhatsApp messaging
Choperly uses Meta’s WhatsApp Business Platform to send and receive messages. You agree to comply with Meta’s WhatsApp Business Messaging Policy and commerce policy, including opt-in requirements and prohibited content rules.
8. Intellectual property
Choperly and its underlying software, brand, and content are owned by Pesewa Brands. You retain ownership of your menus, logos, and customer data. You grant us a limited licence to host and display your content solely to operate the service for you.
9. Acceptable use
You agree not to:
- Use Choperly to send spam, phishing, or unsolicited marketing messages
- Sell items that are illegal under Ghanaian law
- Attempt to reverse engineer, scrape, or overload the platform
- Share your account with unauthorised parties
- Upload content that infringes someone else’s rights
10. Service availability
We work hard to keep Choperly running reliably but cannot guarantee uninterrupted service. We may perform maintenance, upgrades, or experimental changes that briefly affect availability. We will give reasonable advance notice for planned downtime.
11. Termination
You may close your account at any time from the dashboard or by emailing support@choperly.com. We may suspend or terminate accounts that breach these Terms, with notice where reasonable. On termination your data is retained for the periods described in the Privacy Policy.
12. Disclaimers
Choperly is provided “as is”. We disclaim all warranties to the extent permitted by law, including merchantability, fitness for a particular purpose, and non-infringement. We are not responsible for the quality, safety, or legality of food or services sold through the platform — those remain the seller’s responsibility.
13. Limitation of liability
To the fullest extent permitted by law, Choperly’s total liability to you for any claim arising from these Terms or the service is limited to the amount you paid Choperly in the 3 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
14. Governing law
These Terms are governed by the laws of the Republic of Ghana. Any dispute not resolved amicably will be submitted to the courts of Accra, Ghana.
15. Changes to these Terms
We may update these Terms as Choperly evolves. Material changes will be notified via the dashboard or your registered email at least 14 days before taking effect. Your continued use of Choperly after that period constitutes acceptance.
